NGMC Terms of Service

These Terms of Service ("Terms") govern your use of the NGMC platform (the "Service"), operated by TERRACY PICTURES B.V., a company registered in the Netherlands ("NGMC", "we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. About NGMC

NGMC is a media creation platform that lets you compose image, video, and audio pipelines on a node-based collaborative canvas, connecting third-party AI models end-to-end to generate stills, video clips, and audio.

The Service relies on AI models operated by third-party providers (including Google, OpenAI, and BytePlus). NGMC itself does not train AI models on user content; we route your prompts and reference media to upstream providers and return the generated outputs to you. See §5.5 below and our Privacy Policy for details.

AI is a frontier technology. Outputs may be inaccurate, incomplete, or inconsistent with your expectations. You should not rely on AI Outputs for high-stakes decisions without independent verification.

2. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for keeping your account secure and for activity that occurs under your account, except for unauthorized transactions handled under §7.6. If you suspect that your account has been accessed without your authorization, notify us promptly at billing@terracy.com or abuse@terracy.com.
  • You must be at least 16 years of age to use the Service.
  • One natural or legal person may not maintain more than one account.

3. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation, including export controls, sanctions, intellectual property law, or data-protection law.
  • Generate, store, or distribute content that depicts minors in a sexual, suggestive, or otherwise harmful context.
  • Generate, store, or distribute content that infringes the intellectual property, privacy, publicity, or other rights of any third party.
  • Generate non-consensual intimate imagery, deepfakes of real people without their explicit consent, or content designed to deceive others about identity or authorship.
  • Generate content used to harass, defame, threaten, or intimidate any person or group.
  • Generate disinformation, content designed to manipulate elections or political processes, or content presented as authoritative medical, legal, or financial advice without disclosure of its AI-generated nature.
  • Develop competing AI products or services, train or fine-tune any AI or machine-learning model on NGMC Outputs, or otherwise use the Service to build a competitor.
  • Decompile, reverse-engineer, disassemble, scrape, or attempt to derive the source code, algorithms, or training data of the Service or any of the upstream AI models accessed through it, except where such restrictions are prohibited by applicable law.
  • Use automated means to access the Service except through official APIs that NGMC explicitly publishes.
  • Resell or sublicense access to the Service without prior written authorization.
  • Upload malicious code, attempt unauthorized access to any system, or otherwise interfere with the Service's operation or security.
  • Rely on Outputs to make decisions about buying or selling securities, commodities, or other financial instruments, or to provide professional advice (medical, legal, financial) without independent qualified review.

We reserve the right to suspend or terminate accounts engaged in any of the above activities. We may, but are not obligated to, review user content to enforce these Terms.

4. Content Moderation and Reporting

If you believe content on the Service violates these Terms or your rights, send a report to abuse@terracy.com with the relevant URLs or artifact identifiers and a description of the issue. We respond to verified reports within 5 business days.

If content you generated has been removed and you believe the removal was in error, you may appeal by replying to the removal notice within 30 days. Repeat offenders may have their account terminated without further notice.

5. Intellectual Property — Inputs, Outputs, and Service IP

5.1 Definitions

  • "Inputs" means anything you submit to the Service: text prompts, reference images or audio, uploaded media, file attachments, and any settings or parameters that drive a generation.
  • "Outputs" means the media generated by an AI model in response to your Inputs and returned to you through the Service.
  • "Materials" means Inputs and Outputs collectively.

5.2 Your Inputs

You retain all right, title, and interest in your Inputs. You represent and warrant that you have all rights and permissions necessary for NGMC to process your Inputs and route them to third-party AI providers in accordance with these Terms.

5.3 Your Outputs

Subject to your compliance with these Terms, NGMC assigns to you all of its right, title, and interest (if any) in the Outputs generated from your Inputs. The legal protection available for AI-generated content varies by jurisdiction; in some jurisdictions, AI Outputs may not be copyrightable without substantial human authorship. We make no representation that Outputs are protectable or original, and you are responsible for ensuring your use complies with applicable law.

Because AI models are trained on broad datasets, Outputs may resemble existing third-party works. You are responsible for confirming that your use of any Output does not infringe a third party's rights.

5.4 Service IP

NGMC retains all right, title, and interest in the Service itself, including its software, branding, documentation, and all derivatives and improvements. Nothing in these Terms transfers any IP in the Service to you.

5.5 No Training on Your Materials

NGMC does not train its own AI models on your Materials. Your prompts and reference media are transmitted to the third-party AI provider you select (e.g., Google for Veo / Nano Banana / Lyria, BytePlus for Seedance, OpenAI for GPT Image 2) for the sole purpose of generating the Output you requested. Those providers operate under their own terms of service and privacy policies, which govern how they handle data they receive. 5.6 Feedback

If you provide NGMC with feedback, ratings, bug reports, or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback to improve the Service, without any obligation to compensate you.

6. Payment and Billing

6.1 How Credits Work

NGMC plans grant credits, which you spend to drive AI generations. Three credit types can coexist on your account:

  • Free-tier credits — a small allowance granted at signup. They do not expire while your account remains active.
  • Subscription credits — granted by your paid plan on a monthly drip basis. Monthly subscribers receive their full monthly allowance at each renewal; yearly subscribers receive one-twelfth of the annual allowance every month on their subscription anchor date. Subscription credits follow a use-it-or-lose-it model: any unused subscription credits at the end of each monthly drip window are forfeited and are not carried into the next window or refunded in cash.
  • Top-up credits — one-time additional credits you can purchase ad-hoc from Settings → Billing → Top-up. Top-up credits are tracked separately from your subscription allowance, are consumed only after your subscription credits are exhausted, and remain valid for one year from the date of purchase.

When you change your plan, see §6.3 for how each credit type behaves.

6.2 Subscriptions, Renewal, and VAT

  • Paid plans require a subscription. Billing is processed by Stripe; we do not store full card numbers on our servers.
  • Subscriptions auto-renew at the end of each billing period until you cancel. By starting a subscription you acknowledge that the Service begins immediately upon successful payment and that subscription credits are granted as described in §6.1.
  • Prices are in EUR and exclusive of VAT unless otherwise stated. VAT is applied at checkout based on your billing country (e.g. 21% NL VAT for Netherlands customers; reverse-charge for valid EU business VAT numbers).

6.3 Plan Changes

We support two types of plan change with deliberately different timing rules so the price you pay per credit stays consistent and predictable:

  • Same-cycle upgrades (e.g. Pro Monthly → Max Monthly, or Pro Yearly → Max Yearly) take effect immediately. The price difference between your old and new tier is prorated against the remaining time in your current billing cycle and charged to your default payment method. We also apply a matching credit adjustment so your effective price-per-credit aligns with what a direct subscriber to the new tier pays.
  • All other plan changes — switching billing cycle (yearly ↔ monthly), downgrading to a less expensive plan, or any change that combines a cycle switch with a tier change — are scheduled to take effect at the end of your current billing period. Your current plan, credits, and renewal pricing remain in force until that boundary. No payment, refund, or credit adjustment happens at the moment you schedule the change; when your current cycle ends, the new plan starts cleanly with its own fresh charge and credit grant. This design lets you use the full time you have already paid for, and avoids the partial-refund-to-account-balance situations that complex mid-cycle changes can otherwise create.
  • You can change your mind any time before the scheduled change activates — visit Settings → Billing and use the "Cancel scheduled change" option.

For an immediate monetary refund of an unused yearly subscription, see §7.2 (within 14 days of subscription start).

7. Cancellation and Refunds

7.1 Cancelling Your Subscription

Cancel at any time from Settings → Billing → Cancel Subscription. Cancellation takes effect at the end of your current billing period:

  • You retain full access to paid features until the period ends.
  • No further charges occur; auto-renewal stops.
  • At period end, any unused subscription credits expire and cannot be carried forward. Yearly subscriptions accrue credits via monthly drips, so the only credits at risk at cancellation are those granted in the current monthly window.

You can reactivate from the same Settings page before the period ends.

7.2 Refund Policy — 14-Day Cooling-Off Period

Pursuant to the EU Consumer Rights Directive (Directive 2011/83/EU) and the Dutch Civil Code, you have a 14-day cooling-off period (Dutch: herroepingsrecht) starting from the day your subscription contract is concluded. By initiating a subscription you acknowledge that the Service begins immediately upon successful payment.

Within 14 days of subscription start:

  • No credits consumed: full refund. Email billing@terracy.com with your account email and the reason. Refunds are processed within 5 business days.

  • Some credits consumed: per Art. 14(4)(b) of the Consumer Rights Directive, we are entitled to retain an amount proportionate to credits already used. Your refund is calculated using:

    Refund = Paid Amount × (1 − Credits Used ÷ Credits Granted)

    Example: on a €170 yearly subscription where 300 of 1,200 granted credits have been used, the refund is €127.50 (= 170 × (1 − 300/1200)).

After 14 days: the right of withdrawal no longer applies. You may still cancel (see §7.1) and use remaining credits until period end, but no monetary refund is owed.

7.3 Top-Up Credit Refunds

Top-up credits (one-time credit purchases) follow the same 14-day pro-rata rule:

  • None used → full refund.
  • Some used → Refund = Paid Amount × (1 − Credits Used ÷ Credits Purchased).
  • After 14 days → no refund. Top-up credits remain valid for one year from the date of purchase and expire if not used within that period.

7.4 Payment Failures and Auto-Cancellation

If a renewal payment fails after Stripe's retry attempts (typically 4 retries over ~21 days), your subscription is automatically downgraded to the free plan and any remaining subscription credits expire. Resume paid service from Settings → Billing.

7.5 How to Request a Refund

All refund requests are reviewed manually. Email billing@terracy.com with:

  • The email on your NGMC account.
  • The Stripe receipt or charge ID, if available (in Settings → Billing → Invoices).
  • The reason for the refund.

We respond within 5 business days. Approved refunds are issued to the original payment method via Stripe and typically appear within 5–10 business days.

7.6 Unauthorized Transactions

If your account is accessed without your authorization and charges are made that you did not authorize ("unauthorized transactions"), notify us promptly at billing@terracy.com or abuse@terracy.com. On receiving your report we will immediately revoke all active sessions on your account, suspend further billing activity, and investigate using our audit records.

Any charge we confirm to be unauthorized will be refunded in full to the original payment method via Stripe, and we will cooperate with Stripe and the relevant payment provider on the associated dispute. You will not be held liable for transactions we confirm to be unauthorized. These remedies are without prejudice to, and do not limit, the statutory rights you retain as a consumer in the EU, the EEA, or Switzerland — including your rights in respect of unauthorized payment transactions under Directive (EU) 2015/2366 (PSD2) and local law.

This Section does not apply to transactions you authorized (including recurring renewals you agreed to and did not cancel), to charges arising from your own sharing of account access, or where investigation shows the transactions were in fact authorized by you. Refunds of authorized charges are governed by §7.1–§7.5.

8. Account Termination

  • You may delete your account at any time from account settings.
  • We may suspend or terminate your account for material breach of these Terms, for legal compliance, or in response to a security emergency. Where lawful and practical we will provide notice; in cases of safety or fraud risk we may suspend immediately.
  • On termination, your right to use the Service ceases. Active subscriptions are cancelled and §7 refund rules apply if cancellation falls within the 14-day cooling-off period.
  • Following termination we retain Materials and account data for the period described in our Privacy Policy (typically 30 days post-deletion, then erased except where law requires longer retention).

9. Disclaimers and Limitation of Liability

9.1 AI Output Disclaimer

AI is a frontier technology that is still improving in accuracy, reliability, and safety. Outputs may be inaccurate, incomplete, biased, offensive, or out of date even when they appear authoritative. Outputs may also resemble existing third-party works.

You are responsible for reviewing Outputs before relying on them, sharing them, or using them in any context where accuracy or originality matters. NGMC does not warrant that Outputs are correct, original, suitable for a particular purpose, or non-infringing.

9.2 "As Is" Service

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, accuracy, reliability, availability, security, or non-infringement, to the fullest extent permitted by law.

9.3 Limitation of Liability

To the fullest extent permitted by law, NGMC's total aggregate liability to you arising out of or in connection with the Service is limited to the greater of (a) the amounts you paid to NGMC in the six months preceding the event giving rise to the claim, or (b) €100.

NGMC is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business opportunity, data, or goodwill, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded under applicable law. Consumers in the EU retain all statutory rights under their local consumer-protection law.

10. Governing Law and Disputes

These Terms are governed by the laws of the Netherlands, excluding its conflict-of-laws rules. The competent courts of Amsterdam, the Netherlands, have exclusive jurisdiction over disputes arising from these Terms, except that consumers domiciled in the EU, the EEA, or Switzerland may also bring proceedings in the courts of their country of residence as required by local consumer-protection law.

11. Changes to Terms

We may modify these Terms from time to time. For material changes that affect your rights, we will provide at least 30 days' notice by email and in-app notification before the new Terms take effect. Continued use of the Service after the notice period constitutes acceptance of the updated Terms. If you do not agree, you may cancel your subscription and a pro-rata refund for any prepaid unused period will be issued.
